GRAPHIC DESIGN – TERMS AND CONDITIONS

  • GENERAL TERMS
    • During the design process it is expected that the client will work with Hannelie Gouws Design to reach the results outlined and agreed to in the Quote or Graphic Design Proposal.
      • In this regard the client agrees that it is their own responsibility to provide Hannelie Gouws Design with all the content required on the work in order for Hannelie Gouws Design to complete the work and Development as indicated in the Client Information Requirement sheet.
    • The laws of the Republic of South Africa shall govern this proposal. 
  • FINANCIAL POLICY
    • You will receive the full invoice (100%) after the acceptance of the Graphic Design Proposal.
      • Full payment is required upon commencement of the project, unless the monthly payment option is chosen.
    • All prices include VAT unless stated otherwise
    • Price includes up to three (3) concepts, and three (3) proofs from concept approval for design work and animal portraits.
    • The charges for the services and the payment terms applicable are set out in the Graphic Design Proposal.
    • Annual price increase: Our financial year runs from 1 March to 28 February and a standard price increase will occur on 1 March every year. We will communicate the details of the increase to our clients.
    • It is common during the design process that additional materials may become necessary i.e. stock photography or a requested commercial font is required. In this instance, the customer agrees that a price per picture and per font will be applied to the final design fees and will be payable in addition to scope as set out above.
      • Should this be required and thereafter agreed upon, the customer shall be invoiced separately and payment must be made within 30-days from date of invoice.
    • Additional costs above and beyond the cost estimate and/or the client’s specifications will be stated, and consent or dissent must be given by the client within a period of 30-days upon receiving the quotation. 
  • COPYRIGHTS, OWNERSHIP AND TRADEMARKS
    • By supplying text, images and other data to Hannelie Gouws Design for inclusion in the client’s Design/Art Work or other medium, the client declares that they hold the appropriate copyright and/or trademark permissions. The ownership of such materials will remain with the client, or rightful copyright or trademark owner.
    • By supplying images, text, or any other data to Hannelie Gouws Design, the client grants Hannelie Gouws Design permission to use this material freely in the pursuit of the design and to utilise the designs in Hannelie Gouws Design portfolio unless agreed otherwise.
    • Should Hannelie Gouws Design, or the client supply an image, text, audio clip or any other file for use in a website, multimedia presentation, print item, exhibition, advertisement or any other medium found to be copyright and royalty free, which subsequently emerges to have such copyright or royalty usage limitations, the client will agree to allow Hannelie Gouws Design to remove and/or replace the file.
    • The client agrees to fully indemnify and hold Hannelie Gouws Design free from harm in any and all claims resulting from the client in not having obtained all the required copyright, and/or any other necessary permissions.
    • Hannelie Gouws Design may use any artwork/design for its own promotion and portfolio use
    • Copyright of all graphic design work is retained by Hannelie Gouws Design including copy, concepts, ideas, proofs and illustrations (unless specifically released in writing) until after all invoices have been settled. 
  • ALTERATIONS, REVISIONS AND SUPPLY OF CONTENT
    • The client agrees that changes required over and above the estimated work or required to be carried out after acceptance of the draft design will be liable to a separate charge.
    • The client agrees that Hannelie Gouws Design holds no responsibility for any amendments made by any third party, before or after a design is published.
    • Unless otherwise negotiated, or Hannelie Gouws Design’s copywriting services are used, the client must supply text for their project in text file format at the start of the project as well as graphics (logos, images, etc.) to be used. Text should be as close as reasonably possible to final format, with accuracy of content, spelling and grammar checked and little to no formatting (includes text from previous websites). Hannelie Gouws Design assumes all written content adheres to copyright laws.
    • Images are also expected to be supplied before work begins, unless by prior negotiation or if using Hannelie Gouws Design’s photography or stock image services. Images should be supplied in the highest resolution electronic format possible, i.e. logos/images in original Illustrator / Photoshop format, or hi-res JPEG files (300 dpi). Hannelie Gouws Design assumes that all correct permissions have been sought and/or royalties paid for images used.
    • Unless otherwise quoted or negotiated, projects include two rounds of minor changes or author’s revisions of the chosen project only. Following two revisions per project, an additional hourly fee will be charged. We will advise you and seek your agreement before proceeding with any work that will incur additional charges. 
  • DESIGN PROJECT DURATION
    • Any indication given by Hannelie Gouws Design of a design project’s duration is to be considered by the client to be an estimation. Hannelie Gouws Design cannot be held responsible for any project over-runs, whatever the cause. Estimated project duration should be deemed from the date that the deposit has been cleared and is received by Hannelie Gouws Design. 
  • RIGHTS OF REFUSAL
    • Hannelie Gouws Design will not include in its designs, any text, images or other data which it deems to be immoral, offensive, obscene or illegal.
    • All advertising material must conform to all standards laid down by all relevant advertising standards authorities.
    • Hannelie Gouws Design also reserves the right to refuse to include submitted material without given reason.
    • Any images and/or data that Hannelie Gouws Design does include in all good faith, and then finds out that it contravenes these Terms and Conditions, the client is obliged to allow Hannelie Gouws Design to remove the contravention without hindrance, or penalty.
    • Hannelie Gouws Design is to be held in no way responsible for any such data being included. 
  • CANCELLATION
    • All cancellation requests to be sent to hanli100@hotmail.com
    • If a client cancels or alters any order or part order at any time after Hannelie Gouws Design has received the order, Hannelie Gouws Design reserves the right to render additional costs. 
  • DISCLAIMER
    • Hannelie Gouws Design makes no warranties of any kind, express or implied, for any and all products and/or services that it supplies.
    • Hannelie Gouws Design will not be held responsible for any and all damages resulting from products and/or services it supplies.
    • While Hannelie Gouws Design will take reasonable steps to investigate any unsatisfactory result and rectify issues where they can, they will accept no responsibility for any consequential loss after following a client brief.
    • The client agrees not to hold Hannelie Gouws Design responsible for any such loss or damage.
    • Any claim against Hannelie Gouws Design shall be limited to the relevant fee(s) paid by the client.
    • Hannelie Gouws Design reserves the right to use the services of sub-contractors, agents and suppliers and any work, content, services and usage is bound by their Terms and Conditions.
    • Hannelie Gouws Design will not knowingly perform any actions to contravene these and the client also agrees to be so bound.

YOUR USE OF THIS WEBSITE CONSTITUTES YOUR AGREEMENT TO BE BOUND BY THESE TERMS AND CONDITIONS.

This website, including all of its features and content (this “Website”) is a service made available by Hannelie Gouws Design (“The provider”) and all content, information and services provided on or through this Website may be used solely under the following terms and conditions.

DEFINITIONS AND INTERPRETATION:

  1. “Content” including but not limited to: text, submissions, images, audio and/or video, PDF’s in whole or in part;
  2. “Submissions” – including but not limited to notes, images, creative materials, ideas, suggestions concepts, communication including any data, questions, comments and other information submitted in the Website via transmission by electronic mail or otherwise;
  3. “The Provider” means Hannelie Gouws Design.
  4. “User” means any person who enters, uses or accesses the Website, notwithstanding the fact that such a person only visited the home page of the Website;
  5. “The Website” means the Hannelie Gouws Design website located at http://www.hanneliegouwsdesign.com  includes any part or element thereof;

In this agreement unless it appears to the contrary, the singular shall include the plural and visa versa, any reference to any gender shall also includes the opposite gender and any reference to a natural person, shall include legal person and visa versa.

    1. As a user of this Website you are granted a nonexclusive, nontransferable, revocable, limited license to access and use the Website and Content in accordance with these Terms of use. The provider may terminate this license at any time for any reason.

  1. Hannelie Gouws Design permits the use of this Website subject to the Terms and Conditions. By using this Website in any way, you shall be deemed to have accepted all the Terms and Conditions unconditionally. You must not use this Website if you do not agree to the Terms and Conditions.
  1. TRADE MARK, COPYRIGHT AND RESTRICTIONS ON USE:
    1. The Content on this Website is for your personal use only and not for commercial exploitation.
    2. The Website consists of content which is derived entirely or in part from content sourced by and provided to the provider and other sources.   1. PRIVACY:
    1. The provider shall take all reasonable steps to protect the personal information of Users and for the purpose of this clause, “personal information” shall be defined as detailed in the Promotion of Access to Information Act 2 of 2000 (PAIA). Visit Privacy Policy.
    2. The provider may electronically collect, store and use the following personal information of Users:
      1. name and surname;
      2. birth date;
      3. gender;
      4. address;
      5. contact numbers;
      6. non-personal browsing habits and click patterns;
      7. e-mail address;

  • The provider collects, stores and uses the above mentioned information for the following purposes:
    1. providing the Product, support and services to the User;
    2. subject to the User’s consent, inform the User of facts relating to his/her access and use of the Website;
    3. subject to the User’s consent, inform the User about competitions and special offers from the provider and/or its partners / affiliates; and

    2. The User agrees and acknowledges that the consent provided by the User in clause 12.1 satisfies the “writing” requirement.
  • UNLAWFUL ACTIVITY:

The provider reserves the right to investigate complaints, suspicions or reported violations of our Term of use and to take any action we deem appropriate including but not limited to reporting any suspected unlawful activity to the applicable authorities, regulators or third parties and disclosing and information necessary to appropriate such persons or entities.
  • ENTIRE AGREEMENT AND SEVERABILITY:
    1. These terms and conditions constitute the entire agreement between the provider and the User and shall take precedent over any disclaimers and/or legal notices attached to any communications and/or postings received by the provider from the User.
    2. In the event that any term or condition detailed herein is found unenforceable or invalid for any reason, such term(s) or condition(s) shall be severable from the remaining terms and conditions. The remaining terms and conditions shall remain enforceable and applicable.
  • APPLICABLE AND GOVERNING LAW:
    1. The Website is hosted, controlled and operated from the Republic of South Africa and therefore the South African law enforced by the South African courts governs the use or inability to use the Website, its content, services and these terms and conditions.
  • TERMINATION OF AGREEMENT:
    1. The use of or access to the Website constitutes the users acceptance of the terms and conditions hereof, which are binding on the user and take effect on a date when the user first makes use of, or accesses the Website.
    2. If the user does not accept all the terms and conditions in full, the user must exit the site immediately.
  • The provider has the exclusive discretion to terminate the agreement at any time.
  1. After the user has exited the site as aforesaid the user must destroy all content, whether content, materials or software, obtained from the site and all copies thereof.
  2. In the event of the user failing to exit the site as aforesaid the provider has the right to claim any indirect, direct, incidental, special or punitive damages caused to the provider from the users unauthorized access and/or use of Website. The user further indemnifies the provider against any claims for damages of whatsoever nature caused to another party by the users unauthorised use and/or access of the Website.
